By accessing or using BrokersEdge TMS ("the Service"), operated by BrokersEdge TMS LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These Terms apply to all users of the Service, including freight brokers, dispatchers, and any other individuals who access the platform.
BrokersEdge TMS is a cloud-based transportation management system designed for freight brokers. The Service includes load management, carrier and driver management, tracking, accounting, invoicing, and integration with third-party services. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
We offer a 30-day free trial with full access to all features. No credit card is required to start your trial. After the trial period, continued use of the Service requires a paid subscription. Pricing and plan details are available on our website. We reserve the right to change pricing with 30 days' notice. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized account access due to your failure to safeguard your credentials. You must be at least 18 years of age and have the legal authority to enter into this agreement to use the Service.
You agree not to: • Use the Service for any unlawful purpose or in violation of any regulations • Upload or transmit any content that is fraudulent, misleading, or inaccurate • Attempt to gain unauthorized access to any part of the Service • Interfere with or disrupt the integrity or performance of the Service • Reverse engineer, decompile, or disassemble any part of the Service • Use the Service to store or transmit malicious code • Resell or redistribute the Service without our written consent • Violate any applicable transportation laws, FMCSA regulations, or industry standards
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in our Privacy Policy. You retain ownership of all data you input into the Service. You grant us a limited license to process and store your data solely for the purpose of providing the Service. We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security.
The Service may integrate with third-party services including but not limited to MacroPoint, MyCarrierPackets, DAT, Truckstop, and factoring companies. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or reliability of third-party services. We do not endorse any third-party service and are not liable for any damages arising from your use of such services.
The Service, including all software, designs, text, graphics, and other content, is owned by BrokersEdge TMS LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission. You grant us a non-exclusive license to use your company name and logo for marketing purposes (e.g., customer testimonials) with your prior consent.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROKERSEDGE TMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless BrokersEdge TMS LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any freight transactions or business operations conducted using the Service.
Either party may terminate this agreement at any time. You may cancel your account through the account settings or by contacting us. We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees when due, or for any other reason at our discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days after termination, after which it may be permanently deleted.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Texas. You waive any right to a jury trial or class action lawsuit.
We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
Receiving text messages from BrokersEdge TMS is never a condition of creating an account, accepting a load, or using any part of the Service. We use SMS in two distinct, separately-consented ways: One-time verification codes: If you use the BrokersEdge Tracking driver app, a one-time SMS code is sent only when you tap "Text Me a Code" to sign in or reset access. This is a security measure you affirmatively request each time -- comparable to a password reset code -- not a recurring or promotional message. Load and tracking update messages: Separately, and entirely voluntarily, a driver or carrier may opt in to receive SMS load and tracking-update messages. This opt-in is never required to sign in, accept a load, or use any feature of the Service -- every feature, including viewing load details, updating status, uploading documents, and sharing your location, is fully available without opting in to these messages. Declining or later opting out does not affect your ability to use the Service in any way. Message frequency for load/tracking updates varies based on load activity and the update interval selected, typically a few messages per active load. Message and data rates may apply. We do not share, sell, or provide your mobile phone number or messaging consent data to third parties or affiliates for marketing or promotional purposes.
